The Board of Directors of FPT Corporation kindly announces:
On June 24th, 2009, the Board of Directors of FPT Corporation convened and ratified the following items:
1. Item 1 : Ratify preferred shares issuance plan for employees at par value, with total number of 5% of chartered capital on issuance date, from FPT Information System Company and FPT Trading Group according to Statement of Equitization plan of FPT Information System Company and FPT Trading Group, and submit to Shareholders’ Extraordinary Meeting for approval.
2. Item 2 : Ratify convertible bonds issuance plan according to Statement of choosing convertible bonds issuance consultant and approval of costs, and submit to Shareholders’ Extraordinary Meeting for approval.
3. Item 3 : Ratify changes in the Company Charter according to Statement of Changes in the Company Charter, and submit to Shareholders’ Extraordinary Meeting for approval.
4. Item 4 : Ratify 2009 dividend payment plan according to Statement of 2009 dividend payment plan, and submit to Shareholders’ Extraordinary Meeting for approval.
5. Item 5 : Ratify appointing Mr. Truong Dinh Anh as Vice General Director of FPT Corporation.
6. Item 6 : Ratify appointing and dismissing some positions in FPT Entertainment and Media Co., Ltd., (FPT Media):
- Dismiss Mr. Truong Gia Binh as Chairman of FPT Media and appoint Ms. Nguyen Thi Hanh as Chairman and Art Director of FPT Media .
- Dismiss Ms. Nguyen Thi Hanh as General Director of FPT Media and appoint Mr. Pham Vu Duc as Acting General Director of FPT Media .
7. Item 7 : Ratify adjusting the investor from FPT Corporation to FPT University in the investment certificate “Building FPT University in Hoa Lac High-tech Park”. Assign FPT Hoa Lac High-tech Park Development Co., Ltd., to implement adjustment procedures to related offices.
8. Item 8 : Authorize Chairman to select one of four companies: KPMG, E & Y, PWC and Deloitte as the auditing company for FPT Corporation.
