FPT Ranks Among Top 8 Companies with Best Corporate Governance in Vietnam

At the 18th Listed Companies Awards (VLCA) organized by the Ho Chi Minh City Stock Exchange (HoSE), FPT was recognized among the Top 8 large-cap companies with the best corporate governance practices, and received a commemorative award for its positive contributions to HoSE and the Vietnamese stock market during the 2000–2025 period.

This dual recognition reaffirms FPT’s role in setting governance benchmarks and supporting the long-term development of Vietnam’s capital market.

 

Leading in Corporate Governance Quality

 

The year 2025 marks a major shift as Vietnamese enterprises transition from “governance for compliance” to “governance for value creation and sustainable development.”

The corporate governance award serves as a “stress test” of internal institutional strength—from board structure, independent director roles, shareholder rights, and internal controls to risk management mechanisms.

 

This recognition once again affirms FPT’s modern, transparent, and sustainable governance model, especially at a time when international standards continue to rise and Vietnam’s regulatory landscape evolves rapidly.

According to the judging panel, large-cap companies—among which FPT is a leading example—continue to outperform thanks to their well-structured governance frameworks, standardized internal processes, and senior leadership teams experienced in adopting international best practices.

 

These companies typically have a more optimal board structure, clearly separated supervisory and executive roles, and maintain high-quality disclosures. This group is also known for proactively going beyond minimum standards—early disclosure of AGM materials, implementing pre-AGM shareholder consultations, and ensuring transparency in board nomination criteria.

 

Notably, companies earning top scores excelled in areas related to board structure compliance and appointment of Corporate Governance Officers/Corporate Secretaries.

 

For many years, FPT has strictly complied with all major legal requirements related to corporate governance for listed companies. The corporation has also actively elevated its governance to international standards, aligning closely with OECD Principles of Corporate Governance, the ASEAN Corporate Governance Scorecard, and the Vietnam Corporate Governance Code developed by the State Securities Commission and IFC.

 

FPT’s Board of Directors is diverse in expertise and aligned with global best practices on independence and gender balance. All board members possess strong knowledge in finance, risk management, IT, law, corporate governance, and international business.

The board includes:

1 member with deep financial expertise,

5 members with extensive IT experience, and

1 member highly specialized in investment and corporate governance.

 

With nearly half of its Board being independent directors, FPT ensures objectivity and effectiveness in strategic decision-making, prioritizing long-term sustainability and protecting the interests of shareholders and stakeholders.

FPT’s independent directors meet IFC’s definition of independence, ensuring objective judgment, particularly in situations of potential conflicts of interest.

 

A Rigorous and Modern Evaluation System

 

The 2025 VLCA governance category evaluates all companies under the VNX-Allshare Index—the broadest representation of Vietnam’s listed market. From hundreds of submissions, VIOD and the Big Four audit firms conducted a two-round, highly rigorous assessment based solely on publicly disclosed documents to ensure objectivity and standardization.

 

This year’s criteria increased weighting for best practices and reduced weighting for pure compliance. Evaluation was strengthened for board independence, effectiveness of specialized committees, transparency in related-party transactions, and conflict-of-interest controls—reflecting a shift toward global governance standards.

 

Out of 107 companies shortlisted, including 35 large-cap firms, the judging panel ultimately selected only 8 for the top governance award.


Recognized for Contributions to Vietnam’s Capital Market

 

 

FPT receives a commemorative award for its contributions to HoSE and Vietnam’s stock market (2000–2025).
