FPT Honored for the Board Commitment to Good Practices in Corporate Governance

Recently, at the 6th Annual Forum on Corporate Governance (AF6), FPT received accolades for its Board of Directors (BoD) commitment to good practices in corporate governance.

This marks the inaugural recognition by AF6 for the BoDs of listed companies, celebrating their leadership foresight, commitment to corporate governance culture, professionalism, and effective governance, including the quality of Environmental and Social Administration (E&S Administration). The Board of the Year award is crafted with rigorous evaluation criteria, showcasing a precise assessment process designed to identify and honor the most exceptional Boards.

FPT's BoD for the term 2022-2027 comprises seven members, showcasing diversity in nationality (four nationalities, including Vietnamese, French, Indian, and Japanese), gender, and professional background. The Board members bring a wealth of knowledge and experience, with expertise spanning finance, risk management, IT, legal affairs, business administration, international business, and the overall business environment. The composition includes one member with significant finance experience, five with extensive IT expertise, and one with a profound understanding of investment and corporate governance.

Maintaining nearly half of its BoD as independent members, FPT ensures objective and adequate criteria for the sustainable development of the Corporation and the maximization of benefits for shareholders and stakeholders. These independent Board members are qualified, experienced, and adhere to IFC's criteria for defining "independent directors contributing to more objective decision-making, particularly in situations involving conflicts of interest.

The Board Commitment to Good Practices in Corporate Governance certificate is a recognition of FPT's pioneering efforts in implementing advanced standards of corporate governance and transparency in its business operations. It also highlights the Corporation's dedication to adhering to international best practices in Vietnam.

Over the years, FPT has consistently adhered to key legal provisions concerning corporate governance and regulations for listed companies. Furthermore, in its commitment to enhancing compliance with corporate governance laws, the Corporation has actively worked toward improving governance quality to international standards. This involves the application and closer adherence to principles outlined in the OECD's International Governance Principles, the ASEAN Corporate Governance Scorecard, and the Vietnam Best Practice Corporate Governance Principles published by the State Securities Commission in collaboration with the International Finance Corporation (IFC).

The Corporation's commitment to these endeavors has garnered high praise from the investor community, financial institutions, and esteemed organizations both domestically and internationally. This acknowledgment is evident through prestigious accolades, including being ranked among the Top 5 Enterprises in the large capitalization group for the best corporate governance, the Top 3 Vietnamese enterprises with the highest corporate governance scores in the ASEAN region, and the Top 15 listed enterprises with exemplary financial management capacity.

AF6 is an annual forum on Corporate Governance, representing the most significant professional event of the year. This forum is orchestrated by the Vietnam Institute of Directors (VIOD), receiving technical support from the International Finance Corporation (IFC), sponsorship from the Swiss Federal Economic Directorate (SECO), and collaboration with the State Securities Commission (SSC).
